Payment Agreement

This Payment Agreement is entered into between Starks Enterprise LLC (“Provider”) and the client (“Client”) identified in the related Statement of Work and the purchase flow that references this document.

1. Commercial terms (locked at signature)

The due-at-signing (one-time) amount and the recurring monthly platform fee are fixed from the Provider pricing model at the time of e-signature. Both amounts are tax-inclusive as estimated for the client state selected in the estimator. The exact amounts are populated in the electronic envelope when the Client signs.

2. Collection method

Client authorizes Provider to collect the due-at-signing amount and the recurring monthly fee through Stripe Checkout / Stripe Billing after both this Payment Agreement and the related Statement of Work are fully executed electronically. Payment is enabled only after both documents are signed.

3. Relationship to SOW and Terms

This Agreement incorporates the related Statement of Work and is governed by the Starks Enterprise Terms of Service and any Master Services Agreement between the parties. In a conflict on fees or payment timing for this engagement, this Payment Agreement controls.

4. Refunds & termination

Refund and termination rights are described in the Starks Enterprise Terms of Service. The one-time due-at-signing fee reflects project initiation and platform build costs.

5. Electronic signature

Client agrees that electronic signatures (including DocuSign) have the same force and effect as wet-ink signatures under applicable ESIGN / UETA law. Provider will present this document together with the Statement of Work in a single electronic envelope for a streamlined signing experience.

6. Signatures

Client and Provider execute via DocuSign (draw or adopt signature). Checkout is enabled only after both electronic signatures complete on this Payment Agreement and the related Statement of Work.
